Terms & Conditions

These Terms & Conditions are an agreement between you and STRPS, trading as STR Dispatch ("we", "us"). They govern your use of the STR Dispatch website, dispatch portal, driver portal, community board and private broker load links (together, the "Service"). You are contracting with STRPS, not with any broker, carrier or driver you meet through the Service.
1. Acceptance and authority
By creating an account or continuing to use the Service you agree to these terms. If you accept on behalf of a company you confirm you have authority to bind it; if you accept as an individual you confirm you are of legal age. You must provide accurate registration, authority and insurance information and keep it up to date, and you are responsible for keeping your credentials confidential and for all activity under your account.
2. What the Service does
STR Dispatch provides dispatch workflow software: load creation and assignment, driver status and location updates, document exchange (BOL, POD, photos), verification badges, a community board, and private links that let a broker view only the specific load shared with them. We are a software and dispatch service provider — we are not a motor carrier, freight broker, insurer or employer of drivers, and we do not guarantee freight, rates or payment by any counterparty.
3. Licence and restrictions
We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. You may not reverse engineer, resell, sublicense or redistribute the Service, or circumvent technical or plan limits.
4. Acceptable use
You must not:
- use the Service unlawfully or for fraud, spam or misrepresentation;
- post false authority, insurance, identity or load information, impersonate another party, or double-broker freight;
- infringe anyone's intellectual property or privacy rights;
- interfere with the security or integrity of the Service — malware, probing, credential stuffing, unauthorised scraping or bulk data extraction;
- upload documents or photos you do not have the right to share, or use another member's documents outside the load they were provided for.
5. Verification and member content
Verification badges reflect documents and identity checks reviewed at a point in time; they are not a guarantee of a counterparty's conduct, solvency or compliance, and you remain responsible for your own due diligence (see Verification & vetting). You retain ownership of content you upload and grant us a limited licence to host and process it solely to provide the Service. We may remove or restrict content, refuse listings, and suspend accounts where content appears unlawful, fraudulent or infringing. Rights-holders can request a takedown by emailing support@strdispatch.com; repeat or serious infringers lose access.
6. Intellectual property
We and our licensors retain all rights in the Service, including its software, documentation, design and branding. Nothing in these terms transfers ownership of our intellectual property to you.
7. Service level and warranties
We work to keep the Service available but do not guarantee uninterrupted or error-free performance. Location tracking, document delivery and notifications depend on devices, carriers and third-party networks outside our control. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
8. Fees, subscriptions and refunds
Paid portal memberships are billed as shown at checkout (currently $5 per month after a one-week free trial) and renew automatically each billing period until cancelled. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Checkout Buyer Terms. Our own Refund Policy also applies.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
9. Suspension and termination
We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service and cancel your subscription at any time. On termination your access ends; you may request an export of your load and document records within 30 days, after which data may be deleted or anonymised subject to the retention periods in our Privacy Notice.
10. Liability
To the extent permitted by law, neither party is liable for indirect, consequential or special damages, including lost profits, lost freight, lost data or loss of goodwill. Our aggregate liability is limited to the fees you paid us in the 12 months before the claim. Nothing excludes liability for fraud, death or personal injury, or any liability that cannot lawfully be excluded. You indemnify us against claims arising from your content, your unlawful or non-compliant use of the Service, or your breach of these terms.
11. General
These terms are governed by the laws of the United States and the state in which STRPS is established, and disputes are subject to the courts of that jurisdiction. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We may update these terms and will post the revised version here with a new "last updated" date.
